GENERAL SALES TERMS
1. Orders
All orders made with BASERANGE requires the acceptance of these General Sales Terms. From the date on the signed order sheet, the buyer has up to ten (10) days to cancel or modify the order by written letter with confirmation of receipt.
After the expiration of this deadline, the order is considered as irrevocable and all cancellations not approved by BASERANGE gives the latter the right to follow through with the contract. The sale is only considered final once the client has received the order confirmation validating BASERANGE’s acceptance. In the absence of an order confirmation, the sale has not been made and the buyer cannot claim compensation.
2. Delivery
All goods travel at the risk and peril of the recipient. The dates indicated on the order sheet are only of indicative quality. The buyer recognizes that he must be flexible with the delays of production, delivery, import or other parameters that may affect the delivery dates. Any delays after the deadline, for any reason, cannot under any circumstances give way to any compensation. BASERANGE also reserves the right to deliver in more than one shipment.
3. Payment
Payment terms are 30% pre payment on order confirmation and 70% before delivery.
The transfer must be equal to that of the value of the goods to be delivered, and must be made in due time defined by a common agreement between the buyer and BASERANGE when placement of the order and will be indicated on the order sheet and order confirmation.
Immediate payment
The immediate payment of the goods by the buyer does not entail a credit note, unless by an agreement of both parties.
4. Payment incidences
All amounts not paid by the expiration date will be subject to interest penalties at a rate of three times the legal interest rate, in accordance with Article L441-10 of the French Commercial Code.
In the event of an unpaid invoice, BASERANGE reserves the right to apply a 10% surcharge on the total amount of the invoice, including taxes (TTC). This surcharge becomes due automatically and without notice on the day following the due date of the invoice, in addition to the above-mentioned late payment penalties.
If the buyer’s creditworthiness becomes unsatisfactory, BASERANGE reserves the right, even after partial or full shipment of the order, to demand any guarantees it deems necessary to ensure proper fulfillment of obligations. Refusal to provide such guarantees entitles BASERANGE to cancel part or all of the order.
In the case of non-payment, BASERANGE may cancel the sale without prior notice by sending a registered letter with acknowledgment of receipt. The non-payment of a single invoice on its due date will render all other outstanding invoices immediately payable, and suspend any pending deliveries.
For any professional client, in addition to late payment interest, a fixed indemnity of €40 shall automatically be due for recovery costs, in accordance with Articles L441-10 and D441-5 of the French Commercial Code. Additional compensation may be claimed if the actual recovery costs exceed this fixed amount.
5. Return of goods
All claims must be made in writing within eight (8) days of reception of the goods.
It is imperative to justify the motive of return (production, colour, size) and to specify the reference and invoice numbers as well as the corresponding quantity of the articles in question.
Under no condition may the buyer return goods without the authorization, in writing, by the seller. If the motives of the buyer are justified, a return order will be sent to him, listing the agreed upon articles and authorizing their return to BASERANGE. This return order must be enclosed in the box returned by the buyer. In case of failure to follow these instructions, the box will be refused and sent back to the sender. BASERANGE will notify in writing if the buyer’s claim seems justified or not.
The approved return will be an exchange of goods or if this is not possible, a credit note. In case of disagreement, the disputed articles will be subject to the opinion of an expert chosen by both parties among the list of experts registered by law.
6. Delivery fees
The cost of shipping goods and the insurance are to be paid by the buyer.
7. Right of property clause
BASERANGE reserves the property of the goods until the complete payment by the buyer. All risks will be at the charge of the buyer. Down payments may be kept to cover all eventual losses at resale.
8. Tolerance
All tolerance on behalf of the seller will not, under any circumstances, be interpreted as forgoing their rights or a right of deployment to the benefit of the buyer.
9. Jurisdiction clause of attribution
All disputes on the interpretation, the validity or execution of the present sales will be governed by the laws of France.
